1. DEFINITIONS

In these Terms and Conditions:

"Agreement" means these Terms and Conditions, together with any accepted quote, invoice, or written service confirmation.

"Client" means the individual or business entity purchasing the Social Content Engine service.

"Commencement Date" means the date on which the first payment is received and accepted by Sam Irwin Media.

"Deliverables" means the short-form vertical video content produced and delivered each month under the Client's selected Package.

"Long-Form Content" means existing video assets supplied by the Client, including corporate videos, interviews, webinars, and brand films.

"Minimum Term" means the initial six (6) month subscription period commencing from the Commencement Date.

"Package" means the Starter Package or Growth Package selected by the Client at the time of purchase.

"Sam Irwin Media" means Sam Irwin Media Group, ABN [INSERT ABN], operating from Perth, Western Australia.

"Subscription Fee" means the monthly fee payable under the Client's selected Package.

2. SERVICE PACKAGES

2.1 Starter Package — $1280/month 

• 4 short-form vertical videos per calendar month (max. 60 seconds each)

• Edited from one (1) piece of the Client's existing Long-Form Content per month

• Includes captions, colour grade, and platform-optimised export for LinkedIn and Instagram Reels

• Files delivered via shared cloud folder (Google Drive or Frame.io)

• One (1) round of revisions per video included

2.2 Growth Package — $2199/month 

• 8 short-form vertical videos per calendar month (max. 60 seconds each)

• Edited from up to two (2) pieces of the Client's existing Long-Form Content per month

• Includes captions, colour grade, and platform-optimised exports

• Monthly content delivery schedule provided at the start of each month

• One (1) round of revisions per video included

• Priority turnaround and direct communication throughout

2.3 Package Changes The Client may upgrade from the Starter Package to the Growth Package at any time. The new fee applies from the next billing cycle. Downgrades are not permitted during the Minimum Term.

3. MINIMUM TERM & RENEWAL

3.1 Minimum Term All Social Content Engine subscriptions require a minimum commitment of six (6) consecutive months from the Commencement Date. By purchasing this service, the Client acknowledges and agrees to this Minimum Term.

3.2 Automatic Renewal Upon expiry of the Minimum Term, the subscription automatically continues on a month-to-month basis at the same Subscription Fee, until terminated in accordance with clause 7 below.

3.3 No Mid-Term Cancellation The Client may not cancel or suspend the subscription during the Minimum Term. All Subscription Fees within the Minimum Term remain payable in full, regardless of whether the Client provides source footage or uses the Deliverables in any given month.

4. PAYMENT TERMS

4.1 Billing Cycle Subscription Fees are billed monthly in advance. The first payment is due upon acceptance of this Agreement. Subsequent payments are due on the same calendar date each month.

4.2 Accepted Payment Methods Payment is accepted via bank transfer (EFT) or credit card. All fees are in Australian Dollars (AUD) and are exclusive of GST unless otherwise stated.

4.3 GST Sam Irwin Media is currently not registered for GST. A tax invoice will be issued for each payment. GST of 10% will be added to all Subscription Fees may be added if Sam Irwin Media becomes GST registered.

4.4 Late Payment If payment is not received within seven (7) days of the due date, Sam Irwin Media reserves the right to suspend delivery of Deliverables until the account is brought up to date. Suspension of delivery does not reduce or waive any fees owing during the Minimum Term.

4.5 Failed Payments In the event of a failed payment, Sam Irwin Media will notify the Client and allow five (5) business days to resolve the issue. If payment is not received within this period, Sam Irwin Media may suspend services and pursue recovery of outstanding amounts.

5. CLIENT RESPONSIBILITIES

5.1 Supplying Source Footage The Client is responsible for supplying suitable Long-Form Content each month via the designated shared folder. Content should be supplied no later than the 5th of each calendar month to ensure timely delivery of that month's Deliverables.

5.2 Footage Quality Supplied footage must be of sufficient quality for editing purposes. Sam Irwin Media reserves the right to advise the Client if supplied footage is unsuitable, and to propose alternative source material.

5.3 Late or Missing Footage If the Client fails to supply footage by the agreed deadline, Sam Irwin Media will make reasonable efforts to work with available material. No refund or credit will be issued for months where the Client fails to supply footage. The Subscription Fee remains payable in full.

5.4 Ownership & Rights to Source Material The Client warrants that they own or have the legal right to use all Long-Form Content supplied to Sam Irwin Media for editing and repurposing. The Client indemnifies Sam Irwin Media against any third-party claims arising from the use of supplied footage.

5.5 Third-Party Music & Assets If the Client requests the inclusion of specific music tracks or third-party assets in their Deliverables, the Client is responsible for obtaining and providing proof of the appropriate licences. Sam Irwin Media will use royalty-free music by default.

6. DELIVERABLES & REVISIONS

6.1 Delivery Timeline Sam Irwin Media will deliver completed Deliverables within fifteen (15) business days of receiving the Client's source footage for that month, provided footage is received by the 5th of the month.

6.2 Delivery Method All Deliverables will be delivered via the agreed shared cloud folder. Sam Irwin Media will notify the Client by email when files are ready.

6.3 Revisions Each video includes one (1) round of revisions. A revision request must be submitted within five (5) business days of delivery. Revision requests received after this period may be treated as acceptance of the Deliverable. Additional revision rounds beyond the included round will be quoted separately.

6.4 Scope of Revisions Revisions are limited to reasonable edits such as trim adjustments, caption corrections, and minor pacing changes. Requests that fundamentally change the creative direction or require re-editing from scratch are outside the scope of included revisions and will be quoted separately.

6.5 Approval & Sign-Off If no revision request or written feedback is received within five (5) business days of delivery, the Deliverable is deemed approved and accepted by the Client.

7. CANCELLATION POLICY

7.1 Cancellation After the Minimum Term After the Minimum Term, either party may terminate the subscription by providing thirty (30) days written notice to the other party. Notice must be submitted via email to sam@samirwin.com.

7.2 No Refunds for Completed Months Subscription Fees already paid for a completed or current billing month are non-refundable.

7.3 Early Termination If the Client attempts to cancel prior to the completion of the Minimum Term, all remaining Subscription Fees for the balance of the Minimum Term become immediately due and payable. Sam Irwin Media reserves the right to pursue recovery of these fees.

7.4 Termination by Sam Irwin Media Sam Irwin Media reserves the right to terminate this Agreement immediately if the Client is in breach of any material term, including non-payment, or if the Client engages in conduct that is unlawful, abusive, or damaging to Sam Irwin Media's reputation.

8. INTELLECTUAL PROPERTY

8.1 Ownership of Deliverables Upon receipt of full payment for the relevant month, the Client is granted full ownership of the Deliverables produced in that month. Sam Irwin Media retains no ongoing rights to those files once payment is received.

8.2 Portfolio & Promotion Rights Sam Irwin Media reserves the right to use Deliverables in its own portfolio, website, and promotional materials unless the Client provides written notice requesting otherwise prior to the commencement of work.

8.3 Source Footage The Client retains full ownership of all Raw Footage and Long-Form Content supplied to Sam Irwin Media. Sam Irwin Media will not use, share, or repurpose the Client's source footage for any purpose other than producing the agreed Deliverables.

9. CONFIDENTIALITY

Both parties agree to keep confidential any proprietary or commercially sensitive information shared in the course of this Agreement, and not to disclose such information to third parties without prior written consent. This obligation survives termination of the Agreement.

10. LIMITATION OF LIABILITY

10.1 Sam Irwin Media's total liability to the Client under this Agreement is limited to the total Subscription Fees paid in the three (3) months immediately preceding the event giving rise to the claim.

10.2 Sam Irwin Media is not liable for any indirect, consequential, or special loss, including loss of revenue, loss of opportunity, or reputational damage, arising from the use or non-use of Deliverables.

10.3 Sam Irwin Media does not guarantee specific results, engagement rates, or business outcomes from the publication or use of Deliverables on any Platform.

11. AMENDMENTS

Sam Irwin Media reserves the right to update these Terms and Conditions at any time. Clients will be notified of material changes with a minimum of thirty (30) days written notice by email. Continued subscription after the notice period constitutes acceptance of the updated Terms.

12. GOVERNING LAW

This Agreement is governed by the laws of Western Australia, Australia. Any disputes arising under this Agreement will be subject to the exclusive jurisdiction of the courts of Western Australia.

13. ACCEPTANCE

By purchasing the Social Content Engine subscription, the Client acknowledges that they have read, understood, and agree to be bound by these Terms and Conditions in full.
